These Terms of Service ("Terms") govern your access to and use of the CallForge AI platform, website, and services (collectively, the "Service") operated by GENOSRISE HOLDINGS INC. ("Company," "we," "us," or "our"), located at 17350 State Hwy 249, Ste 220 #31234, Houston, TX 77064.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
"Account" means your registered account on the CallForge AI platform.
"User," "you," or "your" means any individual or entity that accesses or uses the Service.
"Subscription" means the paid plan you select to access the Service's features.
"Contacts" means the phone numbers and associated data you upload or input into the Service for outbound calling campaigns.
"AI Agent" means the artificial intelligence voice agent configured within the Service to conduct outbound calls on your behalf.
"Content" means any data, text, audio, recordings, prompts, scripts, or other materials you upload, create, or transmit through the Service.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.
3. Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at support@usecallforgeai.com if you become aware of any unauthorized use of your account.
4. Service Description
CallForge AI is a cloud-based AI-powered outbound calling platform that enables businesses to automate outbound phone calls using AI voice agents. The Service includes, but is not limited to:
AI voice agent configuration and management
Outbound calling campaign creation and execution
Contact list management and importing
Call recording, transcription, and analytics
Appointment booking integration
CRM integration (including GoHighLevel)
Human power dialer functionality
Real-time call monitoring and reporting
5. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations, including but not limited to:
The Telephone Consumer Protection Act (TCPA)
The Telemarketing Sales Rule (TSR)
Federal Communications Commission (FCC) regulations
State-specific telemarketing and robocall laws
The CAN-SPAM Act (where applicable)
The Do Not Call (DNC) registry requirements
You agree NOT to:
Use the Service to make calls to numbers on the National Do Not Call Registry without prior express consent
Use the Service for any fraudulent, deceptive, or misleading purpose
Misrepresent the identity of the caller or the purpose of the call
Use the Service to harass, threaten, or abuse any person
Upload or transmit any content that is unlawful, harmful, or violates the rights of others
Attempt to gain unauthorized access to the Service, other accounts, or related systems
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service in violation of any applicable telecommunications laws or regulations
Resell, sublicense, or redistribute the Service without our prior written consent
Exceed the usage limits of your Subscription plan through automated or fraudulent means
Use the Service to transmit any malware, viruses, or harmful code
You are solely responsible for ensuring that your use of the Service complies with all applicable laws, including obtaining any necessary consents from individuals before contacting them. We do not provide legal advice and make no representations regarding the legality of your specific use case.
6. Subscription Plans and Payment
6.1 Plans
The Service is offered through subscription plans with varying features and usage limits. Plan details, pricing, and feature comparisons are available on our website and within the platform.
6.2 Billing
Subscriptions are billed on a monthly recurring basis. Payment is due at the start of each billing cycle. We accept payment via credit card and other methods as displayed at checkout.
6.3 Usage-Based Charges
Certain usage beyond your plan's included allowances (such as call minutes or contacts) may incur additional usage-based charges. These charges are metered and billed in arrears on your next billing cycle.
6.4 Free Trial
We may offer a free trial period. At the end of the trial, your selected plan will begin billing automatically unless you cancel before the trial ends.
6.5 Cancellation
You may cancel your subscription at any time through the platform's billing settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
6.6 Price Changes
We reserve the right to change our pricing at any time. Price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle.
7. Telephony and Third-Party Services
The Service utilizes third-party telephony providers (including Telnyx) to facilitate outbound calls. You acknowledge that:
Call quality, availability, and delivery are subject to the performance of third-party networks
We are not responsible for call failures, delays, or quality issues caused by third-party providers or carrier networks
Phone numbers provisioned through the Service are subject to the terms and policies of the underlying carrier
Caller ID information is transmitted in compliance with applicable regulations, but display may vary by carrier
8. Call Recording and Transcription
The Service may record and transcribe calls as part of its functionality. By using the Service, you acknowledge and agree that:
You are solely responsible for complying with all applicable call recording laws, including one-party and two-party (all-party) consent states
You will inform call recipients of recording when required by law
Call recordings and transcriptions are stored securely and accessible through your account
We may process call audio for AI training purposes only if you explicitly opt in
9. Data and Content Ownership
9.1 Your Content
You retain all rights to the Content you upload or create through the Service, including contact lists, scripts, prompts, and recordings. You grant us a limited, non-exclusive license to use your Content solely for the purpose of providing the Service to you.
9.2 Our Service
We retain all rights, title, and interest in the Service, including all software, technology, algorithms, designs, and documentation. Nothing in these Terms transfers any intellectual property rights to you.
9.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, perpetual license to use and incorporate such feedback without obligation to you.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, available at https://usecallforgeai.com/privacy. Please review the Privacy Policy to understand how we collect, use, and protect your information.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENOSRISE HOLDINGS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless GENOSRISE HOLDINGS INC. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
Your use of the Service
Your violation of these Terms
Your violation of any applicable law or regulation, including TCPA, TSR, or any telemarketing law
Any claim that your Content or use of the Service infringes or violates the rights of a third party
Any calls made through the Service using your account
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
14. Termination
14.1 By You
You may terminate your account at any time by canceling your subscription and contacting us at support@usecallforgeai.com.
14.2 By Us
We may suspend or terminate your account and access to the Service at any time, with or without cause, including if we reasonably believe that you have violated these Terms. We will make reasonable efforts to notify you prior to termination, except where immediate termination is necessary to protect the Service or other users.
14.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your account data after a reasonable retention period (typically 30 days). Sections that by their nature should survive termination (including Limitation of Liability, Indemnification, and Governing Law) will survive.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the platform at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Harris County, Texas.
17. Messaging Disclosure
GENOSRISE HOLDINGS INC. sends customer support and service-related messages to users who submit inquiries through the website https://usecallforgeai.com chat widget. Messages may include responses to support requests, ticket updates, appointment coordination, or follow-up communications related to an existing inquiry. Messaging is limited to customer care purposes and does not include promotional content.
18. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure. We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, telecommunications failures, or third-party service outages.
